Michał

Michał Bernat

Michał Bernat is a lawyer and a tax adviser and is a member of the firm’s Tax Practice Group.

He specialises in VAT and assists clients with tax optimization of supply and distribution schemes, real estate investments, arrangements applied for promotion and support of sales, intra-Community trade, exports and imports to and from outside the Community and intangible services as well as registration and documentation requirements.

Michał Bernat has also acquired considerable experience in customs, foreign exchange and other similar aspects of business activities, including specifically Community rules and national policy on state aid to entrepreneurs. He has been involved in a number of proceedings for restructuring of public indebtedness and advised on compliance between Polish regulations (including special economic zones) and Community standards as well as on implementation of EC state aid legislation.

He is in charge of systematic review of developments in Community law, jurisprudence of the European Court of Justice and the Court of First Instance, EC policies and activities and practice of European institutions. Michał Bernat has been instrumental in varied projects, on request of both clients and EU institutions, including the European Commission, concerning Community law, harmonization of national legislation and implementation of EC regulations as well as practical aspects of the enlargement for businesses in Poland and abroad.

He graduated from the Faculty of Law and Administration of the University of Warsaw and from the British Centre for English and European Union Law at Cambridge University, and has also gained an International Practice Diploma in the area of International Competition Law. Currently he is a PhD research fellow at the Institute of Law Studies of the Polish Academy of Sciences.

He started his legal career in a Tax and Legal Department of PricewaterhouseCoopers, Warsaw in 2000. He joined Wardyński & Partners in 2001 as a member of Tax Group. He was seconded to common Brussels office of Wardyński & Partners (2003-2005). In 2007 he undertook a secondment at the European Court of Justice in Luxembourg.

Michał Bernat is a member of many international organizations, including International Fiscal Association, the Commission of EC Law and the Commission of Tax Law at the Association Internationale des Jeunes Avocats and of the Polish-British Legal Association; a regular member of the Tax Practice Group and the Infrastructure Practice Group which bring together practitioners from new and old Member States as well as a participant in activities of the International Chamber of Commerce.

Head of the Department of Public Finance Law of Nicolaus Copernicus University in Torun and the Department of Financial Law of Jagiellonian University in Cracow.

Prof. Brzeziński is an author of almost 500 publications regarding wide concepts of tax and financial law. He was appointed as an expert in Parliament and Constitutional Tribunal. He is a former member of the team of experts of the Legislative Council of Prime Minister and the Council of Reforms in Penal Law. Prof. Brzeziński is also a former member of Social Council of Finance as attached to the Minister of Finance and the National Commission for the Examining of Tax Advisers.

He performs a function of a Chairman of the Editorial Committee as well as a Chairman of the Program Council of bimonthly Przegląd Orzecznictwa Podatkowego (Review of Tax Jurisprudence), the Chief Editor of Kwartalnik Prawa Podatkowego (Quaterly of Taxation Law), the Chairman of the Program Council of e-journal Toruński Rocznik Podatkowy, a member of the Program Council of journals Prawo i Podatki and Monitor Podatkowy. He is a Research Fellow at the Taxation Law and Policy Research Institute, Monash University, Melbourne. I teach and do research inside and outside Hungary in the subject of comparative and international business law and taxation. Since more than two decades I have been extensively publishing both in Hungarian and internationally recognised professional periodicals. I am also frequently invited to speak at conferences and seminars in Hungary and abroad. Since 1998 I am the president of the Hungarian national branch of International Fiscal Association. In addition to be active as a scholar, from time to time I am also invited by Hungarian or European public agencies, including the Hungarian Finance Ministry, the Ministry of Justice, and TAXUD and the Internal Market DG of the European Commission to do expert opinion, while being expected to promote Hungarian and Community legislation.

Dariusz Wasylkowski an adwokat, a tax adviser and a senior partner in charge of the Tax Practice Group at Wardyński & Partners.

He advises on Polish as well as international tax law. He represents clients in tax litigation as well as in civil and criminal litigation relating to tax matters, and provides services to both foreign and domestic clients active in a broad range of sectors from manufacturing, distribution and retail to financial services and private equity.
His tax advisory experience includes providing support to clients in corporate tax planning, structuring of inbound investment, transfer pricing and M&A. Contentious tax experience includes advising clients during audits and representing them in administrative proceedings and litigation at all levels of judicial review of tax cases. He has also represented clients in litigation related to customs, regulated prices regimes and similar administrative matters, and also in criminal and civil litigation related to tax and similar matters.
His non-tax experience includes advising on all aspects of M&A transactions and green-field investment in Poland. In 2002 he founded Wasylkowski & Partners, a law firm associated with Deloitte Poland, which became independent and merged in October 2004 with Wardyński & Partners.
Dariusz Wasylkowski is a member of the Warsaw Bar and of the Polish Chamber of Tax Advisers (Disciplinary Tribunal Judge at the National Chamber of Tax Advisers). He is a member of Advisory Board of the European Forum of the International Bar Association (IBA) and a member of the IBA Tax Section, and also of the International Fiscal Association (Chairman of the Polish Branch). Włodzimierz Nykiel, born in 1951 in Łódź (Poland), is a tax law professor and since 2007 the Head of the Tax Law Department of the Faculty of Law and Administration of the University of Łódź. He also leads the Postgraduate Tax Law Program of the Faculty.

He is the Director of the Centre of Tax Documentation and Studies of the University of Łódź (since 1997) and the Rector of the University of Łódź (term 2008 - 2012). He is a member of the Legislative Council (since 2006) and the State Examination Commission for Tax Advisers (since 2002; in the years 2002-2007 he was its President). In 1973, after receiving Master of Law degree from the Faculty of Law and Administration of the University of Łódź, he started working at the Faculty's Financial Law Department. He also graduated from International Faculty of Comparative Law in Strasbourg, France (1981). In 1980 he received Doctor of Law degree and in 1993 - Habilitated Doctor of Law degree. In 1996 he was granted Extraordinary Professor post (University Professor). In 2002 he received Professor of Law academic title (State Professor) and in 2006 - Ordinary Professor of Law post.

Professor Nykiel's area of scientific interests encompasses tax law and budgetary law. In his publications he gives special attention to comparative aspects of tax law. He is the sole author of four books and a co-author of further seven. He has written over ninety articles, commentaries and other scientific publications. In addition, he has supervised six doctoral theses.

Professor Nykiel is lecturing financial law and tax law, including international and European tax law. He has given lectures as a visiting professor at various foreign universities (in Italy, France, Austria). He also delivered lectures in Bulgaria, Slovakia, Germany and in the United States of America.

Since 2000, he has been a member of the European Association of Tax Law Professors (in the years 2000-2005 he belonged to the Academic Committee). He joined International Fiscal Association in 2002 (since 2005 he has been a member of the Executive Committee). He is a member of the Board of Trustees of the International Bureau of Fiscal Documentation in Amsterdam, the Netherlands (since 2009, 2003 - 2009 member of Advisory Council). He also belongs to the Łódź Scientific Association.

Finally, Professor Nykiel belongs to the Programme Boards of Przegląd Podatkowy (Tax Review), Prawo i Podatki (Law and Taxes), Kwartalnik Prawa Podatkowego (Tax Law Quarterly) and Przegląd Legislacyjny (Legislative Review).

Before that he has worked for 32 years in the European Commission and during the last 20 years contributed to all or nearly all of the Commission’s tax policy initiatives aimed at eliminating the obstacles to the proper functioning of the single market, from VAT to CCCTB.
Michel is teaching European tax policy issues in a number of Universities (Paris, Dijon, Marseille, Bayonne, European College of Parma, Wien). He has published numerous articles on economics and taxation and directed the large Commission's study “Company Taxation in the Single Market” October 2001.
At the International Tax Review EMEA awards 2008, Michel received the “Editor’s Choice award for the individual that has made a notable impact on the practice of tax, for his contribution to tax practice in Europe”.

His extensive knowledge of international, comparative and domestic tax law combined with analytical skills and good relations with public sector make him well positioned to address complex tax issues of clients from range of industries.
Together with his team, Tomas is currently assisting several Kazakh clients in the process of setting up foreign private equity funds as well as setting up their business using the PE model.
Tomas has legal background and holds 3 degrees in law including a Doctor in Law (International Law) and LL.M. in International Tax Law from the WU in Vienna. However he is also Chartered Certified Accountant - member (fellowship since 2009) of ACCA (Association of Chartered Certified Accountants – UK Professional Body). Rolf Diemer

Rolf Diemer is since September 2005 Head of Unit at the European Commission's department for 'value added tax and other turnover taxes' (DG TAXUD D1) which covers the whole range of policy and technical VAT issues at EU level.

Among various other things he oversaw the adoption of the so-called VAT package, the preparation of various proposals and studies on VAT rates as well as the comprehensive initiatives on VAT on financial and insurance services and on VAT invoicing rules. Before that he worked as policy officer in the unit responsible for the 'analysis and co-ordination of tax policies' (since 1998). Responsibilities there included the secretariat of the high-level Taxation Policy Group and work on the longer-term options for company taxation in the EU.

Rolf Diemer holds a Ph.D. degree (Dr. rer. pol.) and has completed his studies in business administration at the University of Cologne and at Bocconi University, Milan, with specialisation in auditing, accounting, tax law.

Before starting her PhD research, Rita worked for three years in the International Bureau of Fiscal Documentation (IBFD) in Amsterdam, first as a research associate specialized on EC direct tax law and a country-specialist for Hungary. While working for the IBFD Rita contributed to several IBFD publications, she launched a new database of IBFD on ECJ direct tax case law and she worked on consultancy projects, inter alia, on a case litigated in front of the ECJ involving regional fiscal autonomies and State aid. When she joined the Tax Academy of the IBFD she was teaching and designing courses on various topics of international and European tax law. Before the IBFD, Rita worked for the Budapest office of Linklaters as a trainee lawyer on the Tax Department. Rita published several articles and teaches various courses and seminars on European tax law.

She is co-ordinating worldwide Transfer Pricing and/or Intellectual Property projects for the world’s largest multinational groups in their specific area.

She co-authored several books, amongst others in July 2009, “Substance: Aligning international tax planning with today’s business realities” was launched, focussing on the merits of substance-based planning in corporate structures (tax residence and beneficial ownership). “Mastering the IP Life Cycle” was updated in 2009 and looks at Intellectual Property throughout its lifecycle from a tax, legal and managerial angle and which covers over 40 countries.

She teaches transfer pricing and/or IP planning in the academic world, is a regular speaker at seminars and conferences and runs transfer pricing sessions during international training courses within PriceWaterhouseCoopers. She actively contributes to thought leadership initiatives in the area of transfer pricing as invitee to Specialist Business Expert Group Meetings at the OECD and is also one of the 15 Business Members at the European Commission’s Joint EU Transfer Pricing Forum.
She is a prolific writer for international tax and business periodicals (over 80 articles to date). She is a recognized tax consultant under Belgian law (member of IAB/IEC) and member of the International Fiscal Association (IFA).

Dariusz Wasylkowski an adwokat, a tax adviser and a senior partner in charge of the Tax Practice Group at Wardyński & Partners.

He advises on Polish as well as international tax law. He represents clients in tax litigation as well as in civil and criminal litigation relating to tax matters, and provides services to both foreign and domestic clients active in a broad range of sectors from manufacturing, distribution and retail to financial services and private equity.
His tax advisory experience includes providing support to clients in corporate tax planning, structuring of inbound investment, transfer pricing and M&A. Contentious tax experience includes advising clients during audits and representing them in administrative proceedings and litigation at all levels of judicial review of tax cases. He has also represented clients in litigation related to customs, regulated prices regimes and similar administrative matters, and also in criminal and civil litigation related to tax and similar matters.
His non-tax experience includes advising on all aspects of M&A transactions and green-field investment in Poland. He is also experienced in advising on general corporate law, corporate governance, directors’ liability, corporate compliance programs and corporate criminal liability. He also represented clients in corporate disputes as well as civil and criminal litigation related to directors’ liability.
Dariusz Wasylkowski graduated from the Law Faculty at Warsaw University in 1993. He also studied at the Law Faculty of the University in Copenhagen (1991) and at the combined MBA Program of the School of Management of Warsaw University and the College of Management at the University of Illinois at Urbana–Champaign (1993–94). He participated in the International Tax Academy Fellowship Programme at the International Bureau of Fiscal Documentation in Amsterdam (1996–97).
Dariusz Wasylkowski started his legal career in 1993. From 1994 to 1999 he was an associate at Wardyński & Partners (director of the Tax Department from 1997 to 1999). He was a partner of Deloitte and Touche Central Europe between 2000 and 2004. In 2002 he founded Wasylkowski & Partners, a law firm associated with Deloitte Poland, which became independent and merged in October 2004 with Wardyński & Partners.
Dariusz Wasylkowski is a member of the Warsaw Bar and of the Polish Chamber of Tax Advisers (Disciplinary Tribunal Judge at the National Chamber of Tax Advisers). He is a member of Advisory Board of the European Forum of the International Bar Association (IBA) and a member of the IBA Tax Section, and also of the International Fiscal Association (Chairman of the Polish Branch). He is an associate member of the Section of International Law and the Section of Taxation of the American Bar Association.
